@Vaibhav: When you say MaxHeap that means it must have to satisfy two condition,
1) The tree must be a complete binary tree
2) Each node in the tree must be greater then it's all child node.
You can happily create a MAXHEAP (which satisfy the above two condition) using odd or even number of element. it does not depend on the number of element is odd or even. I would suggest you to try to buld a Maxheap with evennumber of elements and then put your view.... :)
